1. Definitions
1.1. BERDINE: Sole proprietorship under Dutch law, registered at Graaf van Bloisstraat 61, 2805 RJ Gouda, the Netherlands (KvK 61917885).
1.2. Client: Any natural or legal person placing an order with BERDINE.
1.3. Consumer: A Client acting for private (non-commercial) purposes.
1.4. Agreement: Any contract or order confirmation between BERDINE and the Client for the sale and delivery of Products.
1.5. Products: All items offered for sale via the BERDINE website or directly (custom-made or standard).
1.6. Terms: These General Terms and Conditions.
2. Applicability
2.1. These Terms apply to all offers, agreements, sales and deliveries of Products by BERDINE, whether standard or custom-made.
2.2. Deviations from these Terms are only valid if agreed in writing.
2.3. BERDINE may update these Terms. Updated versions will be provided in writing and apply to future orders.
2.4. If any provision is deemed invalid, the remaining provisions remain in force.
3. Offers & Orders
3.1. All offers and prices are non-binding unless a validity period is specified.
3.2. Custom orders are formalized upon written acceptance of the offer, quotation, or invoice.
3.3. Standard webshop orders are accepted upon receipt of order confirmation.
4. Pricing
4.1. All prices are in EUR and exclusive of VAT (21%) and shipping, unless otherwise indicated.
4.2. For custom orders, prices are based on agreed quantities and specifications.
4.3. BERDINE reserves the right to reasonably adjust prices due to unforeseen cost increases (materials, production, transport).
5. Payment
5.1. Standard webshop orders: Payment is due immediately upon checkout.
5.2. Custom orders: 50% advance payment upon confirmation; remaining 50% before shipment.
5.3. If payment is delayed, BERDINE may suspend production or delivery.
5.4. In case of late payment, statutory interest and collection costs apply.
6. Delivery & Shipping
6.1. Products are delivered to the address provided by the Client.
6.2. For custom orders, delivery may occur in multiple batches.
6.3. Delivery dates are indicative; delays do not entitle the Client to compensation unless agreed otherwise.
6.4. Shipping costs are at the expense of the Client unless waived or included in writing.
7. Right of Withdrawal
7.1. Standard webshop orders: Consumers have a 14-day withdrawal period in accordance with EU law, unless the product is excluded (e.g. hygiene-sensitive or personalized items).
7.2. Custom orders: No right of withdrawal applies (Article 6:230p BW), as the products are tailor-made and/or branded.
8. Retention of Title
8.1. BERDINE remains the legal owner of the Products until full payment has been received.
9. Warranty & Complaints
9.1. BERDINE warrants that Products are delivered as agreed.
9.2. Warranty applies only to manufacturing defects and does not cover wear, misuse, or damage.
9.3. The Client must inspect Products upon receipt and report visible defects within 14 days (or 2 months for Consumers).
9.4. In case of complaints, BERDINE will provide a suitable resolution, such as replacement or repair.
10. Liability
10.1. BERDINE is only liable for direct damages due to intent or gross negligence.
10.2. BERDINE is not liable for indirect or consequential damages, such as loss of profit or reputation.
10.3. Liability is limited to the amount paid under BERDINE’s liability insurance, or to the invoice amount if no insurance applies.
11. Force Majeure
11.1. BERDINE is not liable for delays or failure to deliver due to force majeure (e.g. natural disasters, strikes, transport disruptions).
12. Confidentiality & Privacy
12.1. BERDINE and the Client agree to keep confidential any sensitive business or personal information.
12.2. Personal data will be processed in accordance with GDPR and Dutch privacy legislation.
13. Disputes & Applicable Law
13.1. Dutch law exclusively applies to all agreements with BERDINE.
13.2. The court of Rotterdam (or another competent court where BERDINE is based) has exclusive jurisdiction.
13.3. The UN Vienna Sales Convention does not apply.
